Terms of Service

About SolanaRPC. The SolanaRPC website (https://solanarpc.dev/) (the “Site”) is originally managed by Vertex UAB (“us”, “we”). The Site allows You to access Solana RPC services and other tools releated to Solana data.

These Terms of Service (“Terms”) are a legally binding agreement between You and us and set forth the terms for Your use of the Site (however accessed, whether via web, mobile, or otherwise) and the limited services made available through the Site as described herein (the Site and services, collectively, the “Services”).

Your account and permited users. You will be required to register for an account for You or any of Your permitted users (as defined below) to use Services. When you register for an account, you will be asked to provide us with certain information about yourself, such as your name, email address or other contact information. You represent that the information you provide is accurate and complete, and You will keep such information up to date. If you choose, or are provided with, a user name, password, or any other piece of information in connection with your account, You must treat such information as confidential, and You must not disclose it to any third party. When registering on behalf of a business, you represent that You are authorized to do so. “Permitted users” means you, your employees, consultants, contractors, and/or agents who are authorized by You to access and use the Services under the rights granted to You pursuant to these terms. You also acknowledge and agree not to provide any third party with access to the Services or portions thereof using Your username, password, or other security information. You are responsible for any activity, including any purchases made, under Your account. We reserve the right to terminate your account at any time and for any reason. Use of Services is at all times subject to these Terms, whether such use is made through a registered account or otherwise.

Subscriptions. We may offer You the ability to purchase monthly Service subscriptions that contain a fixed number of requests, credits and other functionalities. Specific subscription plans are set out in the Site. Terms specific to a subscription will be disclosed to You at or prior to the time at which You purchase the subscription, and by purchasing the subscription you are agreeing to those terms.

Subscription Cancelation. Your subscriptions shall continue on an on rolling monthly basis until you cancel. You have the right to cancel Your subscription anytime, and it's effective at the end of the month.

Pricing and Billing. Pricing (monthly fee) for specific subscription plans are set out in the Site. Limited or unlimited credits (depending on the plan) are included in the plan with a monthly fee that will be charged to your chosen payment method at the start of the Service term. Service terms begin with the date you elect Your plan and automatically renew every month until you cancel it. Overage usage will be billed at the overage rate throughout the term of your Service. All overage charges are Your responsibility. Please note that Your plan will auto-scale and consume additional credits when your fixed monthly credits are exhausted. We encourage You to constantly check your credits consumptions.

Refunds. Unless otherwise expressly agreed, all fees are non-refundable.

Security. You are responsible for safeguarding Your password and should never disclose it to any third party. You remain responsible for the security of your and your permitted users access to Site and Services. Should You become aware of any security breach, please notify us as soon as possible. You represent that You and Your permitted users use of Service is not in furtherance of inciting violence, funding terrorism, or otherwise in violation of applicable law. We reserve the right to suspend or terminate Your account or access to Service at any time, should we have reason to believe You are in violation with trhe Terms.

Refraining from certain activities. Certain legal or illegal activities may harm other users, violate our rules, and also subject You to liability. Therefore, You may not engage in such activities on our Site and while using Services for Your protection and that of us and other users. These activities include:

• use a Services fraudulently or in connection with a criminal offence or otherwise unlawful;
• engaging in harassment, threats, stalking, spamming, or vandalism;
• transmitting chain mail, junk mail, or spam to other users;
• use a Service to access, transmit, publish, display, advertise or make available material which infringes copyright or any other Intellectual Property Right held in any country;
• otherwise infringing copyrights, trademarks, patents, or other proprietary rights under applicable law;
• intentionally or knowingly posting content that constitutes libel or defamation;
• attempting to impersonate another user or individual, misrepresenting your affiliation with any individual or entity, or using the username of another user with the intent to deceive;
• engaging in fraud;
• use a Service to access, transmit, publish, display, advertise or make available material with child pornography or any other content that violates applicable law concerning child pornography, contains threats of any kind, is defamatory in any way or breaches confidence, which is illegal or infringes any third party's legal rights of whatever nature under the laws of any jurisdiction for any reason;
• posting or distributing content that contains any viruses, malware, worms, Trojan horses, malicious code, or other device that could harm our technical infrastructure or system or that of our users;
• disrupting the Services by placing an undue burden on the networks or servers connected with the Services; disrupting the Services by inundating them with communications or other traffic that suggests no serious intent to use this Service for its stated purpose;
• knowingly accessing, tampering with, or using any of our non-public areas in our computer systems without our authorization;
• probing, scanning, or testing the vulnerability of any of our technical systems or networks without our authorization.

• investigate Your use of the Service (a) to determine whether a violation of these Terms or other applicable law or policy has occurred, or (b) to comply with any applicable law, legal process, or appropriate governmental request;
• detect, prevent, or otherwise address fraud, security, or technical issues or respond to user support requests;
• refuse, disable, or restrict access to the contribution of any user who violates these Terms;
• ban You from editing or submitting requests or block a Your account or access for actions violating these Terms, including but not limited to, repeat copyright infringement;
• take legal action against users who violate these Terms (including reports to law enforcement authorities);
• manage the Services in a manner designed to facilitate their proper functioning and protect the rights, property, and safety of ourselves and our users, licensors, partners, and the public.

Privacy Policy. You are legally responsible for Your edits and submission of Personal Information on the Site or while using Services. For your protection, you should exercise caution and avoid submitting any content that may result in criminal or civil liability under applicable laws. We generally cannot offer protection, guarantee, immunity, or indemnification from legal actions. Authorities may seek to apply other country laws to You, including local laws where you live or where you view or edit content. DISCLAIMER OF WARRANTIES. IF YOU CHOOSE TO USE THE SITE OR SERVICES, YOU DO SO VOLUNTARILY AND AT YOUR SOLE RISK. THE SITES AND SERVICES ARE PROVIDED “AS IS” AND TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAWS, WE DISCLAIM ALL WARRANTIES OR OTHER TERMS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OR TERMS OF SATISFACTORY QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT: THAT THE SITE OR SERVICES, OR ANY OF THEIR FUNCTIONS, WILL BE UNINTERRUPTED OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT ANY PART OF THE SITE OR SERVICES, OR THE SERVERS THAT MAKE THEM AVAILABLE, ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SITE OR SERVICES WITH REGARD TO CORRECTNESS, ACCURACY, TIMELINESS, RELIABILITY, APPROPRIATENESS FOR ANY PURPOSE, OR OTHERWISE. DUE TO THE NATURE OF THE INTERNET, WE CANNOT GUARANTEE THE CONTINUOUS AND UNINTERRUPTED AVAILABILITY AND ACCESSIBILITY OF THE SITES OR SERVICES. WE MAY RESTRICT THE AVAILABILITY OF THE SITE OR SERVICES OR CERTAIN AREAS OR FEATURES IF NECESSARY, IN VIEW OF CAPACITY LIMITS, THE SECURITY OR INTEGRITY OF ITS SERVERS, OR TO CARRY OUT MAINTENANCE MEASURES THAT ASSIST IN THE PROPER OR IMPROVED FUNCTIONING OF THE SITES OR SERVICES. IF YOU ARE DISSATISFIED WITH ANY OF THE MATERIALS CONTAINED IN THE SITE OR SERVICES, OR WITH ANY OF THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF OUR SITE OR SERVICES.

Indemnification. You shall indemnify, defend (at our request) and hold harmless us, our affiliates and licensors, and our and their respective officers, agents, directors, representatives, contractors, and employees, from and against any and all claims, suits, demands, actions, losses, liabilities, damages, judgements, penalties, fines, expenses and other costs (including reasonable attorneys’ fees) arising from your breach or alleged breach of the terms. We will also have the right to provide our own defense additionally or alternatively at our own expense.

Limitation of Liability. In no event will we be liable to You for any special, incidental, exemplary, indirect, punitive, or consequential damages (including loss of profits) with respect to the subject matter of these Trems, whether such liability arises from any claim based upon contract, warranty, tort (including negligence), strict liability or otherwise, and whether or not You have been advised of the possibility of such loss or damage. Our aggregate liability under these shall not exceed the amounts paid by You to us during the one-month period immediately preceding the event that gave rise to Your claim for damages. In no event will we be liable for any inability for You to access the Site for any reason, including as a result of any downtime, failure, obsolescence, removal, termination or other disruption relating to (a) the servers upon which the Site is stored; (b) any Third Party Vendor; or (c) any other platform.

Assignment. We will have the unrestricted right to assign this agreement and to assign, subcontract, license and sublicense any or all of our rights and obligations hereunder.

Governing Law. Resolution of any dispute. These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania. If, however, the dispute arises between You and us, the parties shall first attempt in good faith to resolve the dispute promptly by negotiation between duly appointed executive officers or other representatives of such parties, with full authority to negotiate and settle the dispute. If a dispute has not been resolved by negotiations within 90 days as provided hereinabove, such dispute shall be submitted to the competent court in Vilnius, Republic of Lithuania.
